Terms of Service

1. Acceptance of Terms

By accessing or using the JobWalk application and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

JobWalk is an AI-powered construction estimating platform that converts voice recordings from job site walkthroughs into professional estimates, procurement lists, and PDF reports. The Service includes mobile applications, web-based tools, and related support services.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service.

4. Subscription Plans and Payment

4.1 Plans

The Service offers multiple subscription tiers (Field Worker, Foreman, Project Manager) with varying features and usage limits. Plan details and pricing are available on our website and are subject to change with 30 days' notice.

4.2 Billing

Subscriptions are billed monthly in advance. Payment is processed securely through in-app purchase (App Store / Google Play). You authorize recurring subscription fees through your app store account.

4.3 Free Trial

New accounts may receive a 14-day free trial. No credit card is required during the trial period. At the end of the trial, you must select a paid plan to continue using the Service.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to the Service through the end of your current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to transmit malware or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without written permission
• Use automated systems to access the Service beyond the provided API

6. Your Content

You retain ownership of all content you upload or create using the Service, including audio recordings, project data, estimates, and reports ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of Your Content. AI-generated estimates are provided as a starting point and should be reviewed by a qualified professional before being presented to clients.

7. AI-Generated Content Disclaimer

The estimates, procurement lists, and reports generated by our AI are intended as professional aids and starting points. They are not a substitute for professional judgment, licensed contractor expertise, or detailed manual take-offs. You are responsible for reviewing, adjusting, and validating all AI-generated content before use. JobWalk makes no guarantees regarding the accuracy, completeness, or suitability of AI-generated estimates for any specific project.

8. Intellectual Property

The Service, including its software, design, features, and documentation, is the property of JobWalk, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBWALK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR INACCURATE AI-GENERATED ESTIMATES.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless JobWalk, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide advance notice of planned maintenance when possible.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
